These Terms of Service (“Terms”) govern your access to and use of the websites at tacitx.ai and related services, including any hosted software, APIs and documentation provided by Tacit AI (together, the “Services”). By accessing or using the Services, you agree to be bound by these Terms on behalf of yourself and the entity you represent.
The Services are intended for business and professional use. By using the Services, you confirm that you are acting for business purposes and have authority to bind the entity you represent.
To use certain features, you and your Users must create accounts and provide accurate and complete information. You are responsible for maintaining the confidentiality of login credentials, all activities that occur under your accounts, and promptly notifying us of any unauthorized access or security incident.
Subject to these Terms and any applicable order form, we grant you a limited, non exclusive, non transferable, revocable right for your internal business purposes to access and use the Services during the subscription term and allow your authorized Users to access the Services.

As between you and Tacit AI, you retain all rights, title and interest in and to Customer Data. These Terms do not transfer ownership of Customer Data to us.
You grant Tacit AI a non exclusive, worldwide, royalty free license for the term of your subscription to host, copy, process, transmit and display Customer Data and to generate Outputs solely to provide and maintain the Services, prevent or address technical or security issues, and comply with law and enforce our rights.
You are responsible for the accuracy, quality and legality of Customer Data, providing any notices and obtaining any consents required to submit Customer Data to the Services, and ensuring you do not submit Customer Data that you are not legally allowed to use or that infringes third party rights.
Our handling of personal data is described in our Privacy Policy and any applicable DPA. You agree not to use the Services to process special categories of personal data or other sensitive data unless this is expressly permitted in a signed agreement or DPA between you and us.
The Services may include features that generate Outputs using machine learning and large language models. The quality and accuracy of Outputs can vary and may depend on the quality of inputs and the context in which the Services are used.
Subject to these Terms and applicable law, and to the extent we have any rights in Outputs, we assign to you our rights in Outputs generated from your use of the Services, to use for your internal business purposes.
Outputs are generated automatically and are not a substitute for professional judgment, engineering expertise, regulatory compliance or safety analysis. You are solely responsible for reviewing Outputs and determining whether and how to use them.
You agree to pay all fees specified in the relevant order form, SOW or pricing plan. Unless stated otherwise, fees are quoted and payable in the currency specified and are exclusive of taxes, which you are responsible for paying.
Unless agreed otherwise, fees are invoiced in advance and payable within the period stated on the invoice. Late payments may result in suspension of access to the Services and may incur interest at the maximum rate permitted by law.
We may offer free trials or beta features. We may modify or end any trial or free access at any time without notice. During a free trial, the Services are provided “as is” and without any commitments or SLA. Fees are non refundable unless expressly stated otherwise in an order form or as required by law.
Unless we agree specific service levels in a separate SLA, we provide the Services on a commercially reasonable efforts basis, may update, improve or modify features from time to time, and do not guarantee that the Services will be error free or uninterrupted.
Tacit AI and its licensors own all rights, title and interest in and to the Services and all related software, models, interfaces and documentation, as well as our trade names, trademarks, logos and branding. Except for the rights expressly granted in these Terms, no rights are granted to you.
If you provide suggestions, comments or other feedback about the Services, you grant Tacit AI a perpetual, irrevocable, worldwide, royalty free license to use and exploit that feedback for any purpose, without obligation or compensation to you.
You and your Users must not:
The Services may enable you to access third party services or content, for example via integrations, plugins or linked sites. We do not control and are not responsible for third party services or content. Your use of third party services may be subject to separate terms and privacy policies.
“Confidential Information” means non public information disclosed by one party to the other that is designated as confidential or that should reasonably be understood as confidential. Confidential Information includes Customer Data, our software and documentation, business plans, security information and commercial terms.
Each party will use the other party’s Confidential Information only for purposes of the relationship, protect it with at least reasonable care, and not disclose it except to employees, contractors or advisers who need to know and are bound by confidentiality obligations.
Each party represents and warrants that it has the power and authority to enter into these Terms and that its performance will comply with applicable law.
Except as expressly stated in these Terms and to the maximum extent permitted by law, the Services and Outputs are provided on an “as is” and “as available” basis. We do not warrant that the Services will be error free, uninterrupted, or meet your specific requirements.
To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special or consequential damages, or loss of profits, revenue, goodwill or anticipated savings. Each party’s total aggregate liability is limited to the amount of fees paid in the 12 months before the first event giving rise to liability.
You will indemnify and hold Tacit AI and its affiliates harmless from and against any claims, damages, losses and expenses arising out of your use of the Services in violation of these Terms or applicable law, or Customer Data that infringes or misappropriates any third party rights.
These Terms apply from the date you first use the Services and continue until your subscriptions expire or are terminated.
Either party may terminate these Terms immediately on written notice if the other party materially breaches and does not cure the breach within 30 days of written notice, or becomes insolvent.
Upon termination, your right to access the Services will end. On request, we will provide an export of Customer Data in a commonly used format within a limited time window.
We may update the Services and these Terms from time to time. If we make material changes, we will provide notice. Your continued use of the Services after that date constitutes acceptance of the changes.
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict of law rules, and disputes will be resolved in the state or federal courts located in Delaware.
